1. Introduction and Acceptance of Terms

Welcome to NewsDemon. These Terms of Service ("Terms") are a legal agreement between you ("User," "you," or "your") and K&L Technologies, Inc., a South Carolina S-corporation doing business as NewsDemon ("NewsDemon," "we," "us," or "our"). These Terms govern your access to and use of the NewsDemon Usenet access service, including all related websites, applications, and services (collectively, the "Service").

By creating an account, making a purchase, or using any part of the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree to these Terms, you must not use the Service.

We may update these Terms from time to time. When we do, we will revise the "Last Updated" date at the top of this page. It is your responsibility to review these Terms periodically for changes. Your continued use of the Service after any updated Terms are posted constitutes your acceptance of those changes. If you do not agree to the updated Terms, you may cancel your account.

2. Eligibility

You must be at least eighteen (18) years of age to use the Service. By using the Service, you represent and warrant that you are at least 18 years old and have the legal capacity to enter into a binding agreement. If you are using the Service on behalf of a business or legal entity, you represent that you have authority to bind that entity to these Terms.

3. Description of Service

NewsDemon provides Usenet access services, which allow you to access, read, download, and post content on the Usenet network. We act as a conduit for Usenet content and do not control, monitor, or endorse the content available through the Usenet network. The Service may include subscription-based plans (monthly, quarterly, annual, or other recurring billing periods) and block-based (pay-per-use) plans.

4. Accounts and Security

You are responsible for maintaining the confidentiality of your account credentials and for all activity that occurs under your account. You agree to notify us immediately at [email protected] if you become aware of any unauthorized use of your account.

NewsDemon accounts are for individual use only. You may not share your login credentials with third parties. We reserve the right to suspend or terminate accounts that show signs of credential sharing or unauthorized multi-user access.

You agree to provide accurate, current, and complete information during registration and to keep that information up to date.

5. Billing, Pricing, and Refunds

5.1 Subscription Plans

Subscription plans renew automatically at the end of each billing period at the then-current rate, unless you cancel before the renewal date. You may cancel your subscription at any time through your account dashboard or by contacting [email protected]. Cancellation will take effect at the end of your current billing period, and you will retain access until that date.

5.2 Block Plans

Block accounts do not expire. Once purchased, your block data allocation remains available for your use indefinitely, regardless of how long it takes you to use it. We will not reduce, revoke, or impose a time limit on unused block data.

5.3 Pricing Changes

We reserve the right to change our pricing at any time. However, any price increase will not affect your current billing cycle. For subscription plans, you will be notified of price changes at least thirty (30) days before the new rate applies to your account. If you do not agree to a price change, you may cancel your subscription before the new rate takes effect.

5.4 Thirty-Day Money-Back Guarantee

NewsDemon offers a 30-day, no-questions-asked money-back guarantee on all new subscription and block purchases. If you are not satisfied for any reason, simply contact [email protected] within thirty (30) days of your initial purchase and we will issue a full refund. This guarantee applies to your first purchase with NewsDemon and does not apply to subsequent renewal charges.

5.5 Payment Methods and Currencies

We accept payment by credit card, PayPal, BitPay, BTCPay, and such other methods as we may offer from time to time. Prices are listed in U.S. Dollars (USD), British Pounds (GBP), Euros (EUR), Australian Dollars (AUD), and South African Rand (ZAR) where applicable. Currency conversion fees, if any, are your responsibility and are determined by your payment provider.

5.6 Failed Payments

If a recurring payment fails, we will make reasonable attempts to process the payment over a limited retry period. If payment cannot be collected after our retry attempts, your account may be suspended or downgraded. We may notify you by email before any suspension occurs and provide an opportunity to update your payment information.

6. Acceptable Use Policy

You agree to use the Service only for lawful purposes. You are solely responsible for the content you access, download, or post through the Service. You agree not to use the Service to:

• Upload, post, or distribute any content that infringes upon the intellectual property rights of any third party
• Upload, post, or distribute any content that is unlawful, threatening, harassing, defamatory, obscene, or otherwise objectionable under applicable law
• Distribute malware, viruses, or any other harmful software
• Engage in any activity that violates applicable local, state, national, or international law or regulation
• Attempt to gain unauthorized access to NewsDemon's systems, other users' accounts, or any network or server connected to the Service
• Use the Service in any manner that could damage, disable, overburden, or impair our infrastructure
• Use automated tools or bots in a manner designed to degrade or abuse the Service for other users
• Use the Service to connect to, stream from, or serve content to any third-party streaming service, media server, or content delivery platform (including but not limited to WebDAV-based Usenet streaming tools)
• Use the Service for commercial purposes, including but not limited to reselling access, operating a commercial distribution service, or any other revenue-generating activity, without prior written authorization from NewsDemon

We reserve the right to suspend or terminate your account, without prior notice, if we reasonably determine that you have violated this Acceptable Use Policy. In cases of less severe violations, we will attempt to notify you and provide an opportunity to address the issue before taking action.

Commercial Abuse Monitoring: NewsDemon maintains systems to detect commercial abuse of the Service. If we determine, in our sole discretion, that your account is being used for unauthorized commercial purposes, we reserve the right to immediately cancel your account without refund.

7. Child Safety and Exploitation Policy

NewsDemon has a zero-tolerance policy regarding child sexual abuse material (CSAM) and the exploitation of minors.

We are committed to the safety and protection of children. In accordance with federal law, including the PROTECT Our Children Act, 18 U.S.C. § 2258A, and other applicable statutes, NewsDemon complies fully with all reporting obligations regarding apparent violations involving the sexual exploitation of children.

If we become aware of the existence of any content that constitutes or appears to constitute child sexual abuse material, we will promptly report such content and all available identifying information to the National Center for Missing & Exploited Children (NCMEC) through their CyberTipline, and will cooperate fully with NCMEC and applicable law enforcement agencies.

Any user found to be involved in the distribution, possession, or solicitation of CSAM will have their account immediately and permanently terminated, and all known information will be provided to the appropriate authorities.

Reporting: If you encounter content on the Usenet network accessed through NewsDemon that you believe involves the sexual exploitation of a minor, please report it immediately to [email protected]. Please include as much identifying information as possible, including Message-IDs if available. You may also report directly to the NCMEC CyberTipline at www.cybertipline.org.

8. Copyright and DMCA Policy

NewsDemon respects intellectual property rights and complies with the Digital Millennium Copyright Act (DMCA), 17 U.S.C. § 512. We act as an online service provider and qualify for safe harbor protections under the DMCA as a transient digital network communications provider and a provider of system caching and storage at the direction of users.

8.2 Filing a DMCA Notice

If you believe that content accessible through our Service infringes your copyright, you may submit a written notification to our designated agent containing:

• A physical or electronic signature of the copyright owner or authorized representative
• Identification of the copyrighted work(s) claimed to have been infringed
• Identification of the material that is claimed to be infringing, including sufficient information to locate it (such as Message-IDs)
• Your contact information (name, address, telephone number, email address)
• A statement that you have a good faith belief that the use of the material is not authorized by the copyright owner, its agent, or the law
• A statement, made under penalty of perjury, that the information in the notification is accurate and that you are authorized to act on behalf of the copyright owner

8.3 Repeat Infringers

NewsDemon will, in appropriate circumstances, terminate the accounts of users who are determined to be repeat copyright infringers.

9. Privacy and Data Protection

9.1 Our Privacy Commitments

NewsDemon does not log your Usenet activity. We do not record which newsgroups you access or which articles you read or download. We believe that your Usenet usage is your business, not ours.

NewsDemon does not sell, rent, or share your personal data with third parties for their marketing purposes. We will never monetize your data.

NewsDemon does not inject your IP address into Usenet article headers when you post content through our servers. We take affirmative steps to protect your privacy as a poster on the Usenet network.

9.2 Information We Collect

We collect only the minimum information necessary to provide and maintain the Service:

• Account information: your email address, username, and payment details
• Billing records: transaction history necessary for accounting, refunds, and dispute resolution
• Technical data: connection logs sufficient to maintain service security and prevent abuse (e.g., timestamps of connections, bandwidth usage)
• Support communications: records of your correspondence with our support team

9.3 Data Retention

We retain your account information for as long as your account is active and for a reasonable period thereafter to comply with legal obligations, resolve disputes, and enforce our agreements. You may request deletion of your personal data by contacting [email protected], subject to our legal retention obligations.

9.4 Applicable Privacy Laws

Our handling of personal data is governed by our Privacy Policy. To the extent applicable, we comply with the General Data Protection Regulation (GDPR), the California Consumer Privacy Act (CCPA), and other applicable data protection laws. Our Privacy Policy describes your rights under those laws in detail.

9.5 Law Enforcement and Legal Process

We will disclose user information only when compelled to do so by valid legal process (such as a court order, subpoena, or warrant) issued by a court of competent jurisdiction. Where legally permitted, we will notify you of such requests before disclosing your information.

Warrant Canary: NewsDemon maintains a warrant canary, published on our website, which is updated regularly to affirm that we have not received any secret government subpoenas, national security letters, or gag orders compelling the disclosure of user data. If the warrant canary is not updated or is removed, users should assume that such a request may have been received.

10. Intellectual Property

The NewsDemon name, logo, website design, and all original content created by NewsDemon are the property of K&L Technologies, Inc. and are protected by U.S. and international copyright, trademark, and other intellectual property laws. You may not reproduce, distribute, modify, or create derivative works from any of our intellectual property without prior written consent.

The Usenet network is a decentralized system, and content posted to Usenet newsgroups is created and owned by its respective authors. NewsDemon claims no ownership of user-generated content accessed or posted through the Service.

11. Disclaimer of Warranties

The Service is provided on an "as is" and "as available" basis, without warranties of any kind, either express or implied. To the fullest extent permitted by law, NewsDemon disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

We do not warrant that the Service will be uninterrupted, error-free, or completely secure. We do not warrant that any content available on the Usenet network will be accurate, complete, or suitable for any purpose. Usenet content is created by third-party users, and NewsDemon is not responsible for its accuracy, legality, or quality.

Some jurisdictions do not allow the exclusion of certain warranties. In such jurisdictions, the above exclusions apply only to the maximum extent permitted by applicable law.

12. Limitation of Liability

To the fullest extent permitted by applicable law, NewsDemon and its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or goodwill, arising out of or in connection with your use of or inability to use the Service, regardless of the theory of liability (contract, tort, strict liability, or otherwise) and even if NewsDemon has been advised of the possibility of such damages.

In no event shall NewsDemon's total aggregate liability for all claims arising out of or related to these Terms or the Service exceed the greater of fifty U.S. dollars ($50.00) or the total amounts you have paid to NewsDemon in the six (6) months immediately preceding the event giving rise to the claim.

Exceptions: Nothing in this section shall limit NewsDemon's liability for (a) gross negligence or willful misconduct, (b) fraud or fraudulent misrepresentation, (c) death or personal injury caused by our negligence, or (d) any other liability that cannot be excluded or limited under applicable law.

Some jurisdictions do not allow the exclusion or limitation of incidental or consequential damages. In such jurisdictions, the above limitations apply only to the maximum extent permitted by applicable law.

13. Indemnification

You agree to indemnify, defend, and hold harmless NewsDemon and K&L Technologies, Inc., and their respective officers, directors, employees, and agents, from and against any claims, liabilities, damages, losses, costs, and expenses (including reasonable attorney fees) arising directly from:

• Your violation of these Terms
• Your use of the Service in a manner that violates any applicable law or regulation
• Your infringement of any intellectual property or other right of any third party
• Any content you post or distribute through the Service

This indemnification obligation survives termination of your account and these Terms. NewsDemon will provide you with reasonable notice of any such claim and will cooperate with your defense at your expense.

14. Dispute Resolution and Arbitration

Please read this section carefully. It affects your legal rights, including your right to file a lawsuit in court.

14.1 Informal Resolution

Before initiating any formal dispute resolution proceeding, you agree to first contact us at [email protected] and attempt to resolve the dispute informally. We will attempt to resolve the dispute through good-faith negotiation for a period of at least sixty (60) days from the date of your initial contact.

14.2 Binding Arbitration

If the dispute cannot be resolved informally, you and NewsDemon agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved exclusively through binding individual arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, as modified by this section.

14.3 Arbitration Procedures

Governing Rules: The arbitration shall be conducted under the AAA Consumer Arbitration Rules then in effect, which are available at www.adr.org.
Venue: The arbitration shall take place in Greenville County, South Carolina, or, at your election, may be conducted by telephone or videoconference.
Fees: For claims of $10,000 or less, NewsDemon will pay all AAA filing and arbitrator fees. For claims exceeding $10,000, filing and arbitrator fees will be allocated as determined by the AAA Consumer Arbitration Rules. Each party shall bear its own attorney fees unless the arbitrator awards fees to the prevailing party as permitted by law.
Arbitrator Authority: The arbitrator shall have the exclusive authority to resolve any dispute relating to the interpretation, applicability, or enforceability of this arbitration agreement. The arbitrator may award any relief that a court of competent jurisdiction could award.

14.4 Class Action and Jury Trial Waiver

You and NewsDemon each waive the right to a trial by jury. You and NewsDemon each agree that disputes will be resolved solely on an individual basis and not as part of any class, consolidated, or representative action. The arbitrator may not consolidate claims or preside over any form of representative or class proceeding.

14.5 Small Claims Court Exception

Notwithstanding the above, either party may bring an individual action in small claims court in Greenville County, South Carolina (or in the small claims court of your county of residence), provided the claim is within the court's jurisdictional limits.

14.6 Opt-Out Right

You have the right to opt out of this arbitration agreement. You may opt out by sending written notice to [email protected] within thirty (30) days of creating your NewsDemon account. Your notice must include your name, email address associated with your account, and a clear statement that you wish to opt out of the arbitration agreement. If you opt out, you and NewsDemon retain all rights to pursue claims in court. Opting out of arbitration will not affect any other provision of these Terms.

14.7 Survival

This arbitration agreement survives termination of your account and these Terms.

15. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of South Carolina, without regard to its conflict-of-law principles. To the extent that any legal proceeding is permitted outside of arbitration (as set forth in Section 14), you agree to submit to the exclusive jurisdiction of the state and federal courts located in Greenville County, South Carolina.

16. Service Modifications and Discontinuation

NewsDemon reserves the right to modify, suspend, or discontinue the Service (or any part of it) at any time, with or without notice. We will make commercially reasonable efforts to provide advance notice of any material changes to the Service.

In the event that we discontinue the Service entirely, we will make commercially reasonable efforts to provide advance notice to active account holders. NewsDemon shall have no obligation to issue refunds in the event of a service discontinuation.

17. Termination

You may terminate your account at any time by contacting [email protected] or through your account dashboard. NewsDemon may terminate or suspend your account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent or illegal activity, or if required to do so by law.

Upon termination, your right to use the Service ceases immediately. Sections 7 (Child Safety), 8 (Copyright/DMCA), 9 (Privacy), 11 (Disclaimers), 12 (Limitation of Liability), 13 (Indemnification), 14 (Arbitration), and 15 (Governing Law) shall survive termination.

18. Force Majeure

NewsDemon shall not be liable for any failure or delay in performing its obligations under these Terms to the extent that such failure or delay results from events beyond our reasonable control, including but not limited to natural disasters, acts of war or terrorism, pandemics, government actions, power outages, internet disruptions, or failures of third-party infrastructure providers.

19. General Provisions

19.1 Entire Agreement

These Terms, together with the Privacy Policy and any other policies expressly incorporated by reference, constitute the entire agreement between you and NewsDemon with respect to the Service and supersede all prior or contemporaneous communications, proposals, and agreements, whether oral or written.

19.2 Severability

If any provision of these Terms is found to be unenforceable or invalid by a court of competent jurisdiction or arbitrator, that provision shall be enforced to the maximum extent permissible, and the remaining provisions shall remain in full force and effect.

19.3 Waiver

The failure of NewsDemon to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver must be in writing and signed by an authorized representative of NewsDemon.

19.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations under these Terms, without our prior written consent. NewsDemon may assign these Terms in connection with a merger, acquisition, reorganization, or sale of all or substantially all of our assets, provided the assignee agrees to be bound by these Terms.

19.5 Notices

We may provide notices to you by email to the address associated with your account, by posting notices on our website, or by other reasonable means. You are responsible for ensuring that your email address on file is current. Notices from you to NewsDemon should be sent to [email protected].

19.6 Third-Party Beneficiaries

These Terms do not create any third-party beneficiary rights in any individual or entity that is not a party to these Terms.

19.7 Headings

The section headings in these Terms are for convenience only and have no legal or contractual effect.
